Affiliate Agreement

This Affiliate Agreement (“Agreement”) is entered into by and between Narrow Bridge Media Inc. (“Company”), and the undersigned (“Affiliate”), collectively referred to as the “Parties”.

1. Purpose

The Company desires to provide the Affiliate with the opportunity to earn commissions by referring clients through the Affiliate’s unique referral link provided by the Company (Narrow Bridge Media, Inc.) to the Company’s website located at freelancerdashboard.com (“Company Website”).

2. Terms and Conditions

2.1 Affiliate Duties

The Affiliate agrees to conduct themselves in a professional manner and to refrain from making any false or misleading representations regarding the Company or the Company Website. The Affiliate is responsible for providing and updating the linking and promotional materials on their website or social media channels.

2.2 Commissions

The Affiliate’s earnings are based on the number of referrals made and will earn commissions as follows:

2.3 Tracking

The Company shall use commercially reasonable efforts to track sales generated by the Affiliate’s referral link. However, the Company is not liable for any issues, technical or otherwise, that may result in disruptions or errors in tracking. In the event of a tracking dispute, the Company’s data and calculations shall be deemed authoritative.

2.4 Payment

Commissions will be paid to the Affiliate on a monthly basis, provided that the Affiliate has met the minimum threshold set forth in Exhibit A. Payments will be issued via the method specified in Exhibit A.

2.5 Term and Termination

This Agreement will begin upon the Affiliate’s acceptance and can be terminated by either party with thirty (30) days written notice. Upon termination, outstanding commissions due to the Affiliate will be paid during the next billing cycle.

2.6 Arbitration

Any disputes arising out of or related to this Agreement shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in [Insert Location], and the decision of the arbitrator shall be final and binding upon both Parties.

2.7 Limitation of Liability

Under no circumstances shall the Company be liable for indirect, incidental, consequential, special or exemplary damages arising from any provision of this Agreement such as, but not limited to, loss of revenue or anticipated profits or lost business.

2.8 Modifications to the Agreement

The Company may modify any of the terms of this Agreement at any time without prior notice. All modifications shall be posted on our website and shall become effective immediately upon posting. Continuing participation in the affiliate program following any modification constitutes binding acceptance of the terms and conditions of this Agreement as modified.

2.9 Confidentiality and Non-Disclosure

The Affiliate agrees to keep all confidential information regarding the Company and its business practices, including affiliate rates and terms, confidential, and shall not disclose such information to any third party without the prior written consent of the Company. This includes, but is not limited to, commission rates, marketing strategies, and other sensitive information.

2.10 No Disparagement

The Affiliate agrees not to disparage the Company or its officers, directors, employees, or agents in any manner that negatively affects the Company’s reputation or operations.

2.11 Marketing Guidelines and Use of Intellectual Property

The Affiliate must adhere to Narrow Bridge Media Inc.’s marketing guidelines unless otherwise approved in writing by the Company. The Affiliate is permitted to use the Company’s logos and screenshots of the Company Website for promotional purposes, provided they maintain the integrity and reputation of the Company’s brand and adhere to the specified guidelines.

3. Miscellaneous

This Agreement constitutes the entire agreement between the Parties. Any amendments or modifications must be written and signed by both Parties.
